These Terms of Use (the "Terms") form a binding agreement between you, whether acting individually or on behalf of an entity ("you" or "your"), and Eider Group, LLC, a Maine limited liability company ("Eider Group," "we," "our," or "us").
By accessing or using this website, or by submitting information through any form on it, you acknowledge that you have read, understood, and agree to be bound by these Terms.
If you do not agree to these Terms, do not use this website.
2. Who we are
Eider Group is a venture studio that builds and backs early-stage technology companies. We bring together product, capital, go-to-market, and operating expertise to turn strong ideas into durable businesses.
We are not a bank, broker-dealer, investment adviser, law firm, or accounting firm, and we do not hold ourselves out as any of those.
3. What this website is
This website is an informational website. It describes who we are, how we work, the capabilities we bring to venture building, and the markets we focus on, and it provides a form through which founders may tell us about a venture.
The website does not provide user accounts, subscriptions, paid services, developer interfaces, or any software product. Nothing on it is sold to you.
We may change, add, or remove any part of this website at any time without notice.
4. Eligibility
You must be at least eighteen (18) years old and legally able to enter into a binding agreement to use this website.
If you use this website on behalf of an organisation, you represent that you are authorised to bind that organisation to these Terms, and "you" refers to both you and that organisation.
5. No advice, and no offer of securities
Content on this website is general information about Eider Group and our point of view on venture building. It is not legal, tax, accounting, financial, regulatory, or investment advice, and it should not be relied upon as a substitute for professional advice from a qualified adviser.
Nothing on this website is an offer to sell, or a solicitation of an offer to buy, any security or interest in any fund, vehicle, or venture. Nothing on this website is an offer of investment, financing, employment, or engagement. Any such offer would be made only through separate written documentation, to eligible parties, and in compliance with applicable law.
Any description of our capabilities, process, or approach is a general description of how we work and is not a promise of any specific service, outcome, result, valuation, return, or level of support.
6. No advisory, investment, or fiduciary relationship
Using this website, submitting a form, or corresponding with us does not create any advisory, investment, agency, partnership, joint venture, employment, or fiduciary relationship between you and Eider Group.
We are under no obligation to review, respond to, evaluate, fund, build, support, or pursue any idea or venture submitted to us, and we may decline for any reason or no reason.
A relationship with Eider Group arises only if and when we sign a written agreement with you. Until then, nothing said or exchanged is binding on either of us.
7. Venture inquiries and other submissions
"Submission" means any information you send us through this website or in connection with it, including through the Start a Venture form, and any material you subsequently provide such as a description, plan, deck, or document.
You represent and warrant that:
- you have the right to provide the Submission;
- the Submission does not infringe or misappropriate the intellectual property, privacy, publicity, contractual, or other rights of any third party;
- the Submission does not violate any confidentiality or non-disclosure obligation you owe to anyone else; and
- the Submission is accurate and not misleading.
Please do not send us sensitive personal information, protected health information, payment card data, government identification numbers, trade secrets, or anything subject to export control or a third party's confidentiality obligations. This website is not designed to receive that kind of information.
You retain ownership of your Submission. You grant us a non-exclusive, worldwide, royalty-free licence to receive, store, review, and internally evaluate the Submission for the purpose of considering and responding to your inquiry.
8. Submissions are not confidential unless we agree otherwise
Please read this section carefully.
Unless we have signed a separate written confidentiality or non-disclosure agreement with you that covers the Submission, your Submission is not confidential and does not create any obligation of confidence, express or implied, on our part.
We handle inquiries with discretion and we do not publish them. But we cannot accept a confidentiality obligation that arises simply because information was sent to us through a website form, and you should not send us anything you are not comfortable sharing on that basis.
If you need confidentiality before telling us the substance of your idea, tell us that first and we can discuss putting an appropriate agreement in place.
9. Independent development
We are a venture studio. We originate our own ideas, we work with other founders, and we evaluate many ventures across the markets we focus on.
You acknowledge that we may now be, or may in future be, developing, building, funding, or working with ventures that are similar to, competitive with, or overlapping the subject of your Submission, and that we may have received similar ideas from others.
Nothing in these Terms restricts our ability to pursue that work, provided we do not use a Submission in breach of a separate written agreement with you.
10. Feedback
If you send us comments, suggestions, or ideas about this website itself ("Feedback"), you grant us a perpetual, irrevocable, worldwide, transferable, sublicensable, royalty-free right to use and act on that Feedback without restriction, attribution, or compensation.
We have no obligation to respond to or implement Feedback.
11. Acceptable use
You agree not to:
- use this website for any unlawful purpose or in violation of any applicable law or regulation;
- submit false, misleading, fraudulent, or impersonating information;
- upload or transmit malicious code, malware, or anything designed to disrupt or damage the website;
- attempt to gain unauthorised access to the website, its servers, its administrative interfaces, or any related system;
- probe, scan, or test the vulnerability of the website or breach its security or authentication measures;
- interfere with or place undue load on the website, including by denial-of-service or similar means;

"Eider Group," the Eider Group name and roundel, and the other marks, logos, and trade dress appearing on this website are marks of Eider Group.

Third-party names and marks appearing on the website are the property of their respective owners.
14. Copyright complaints
We respect the intellectual property rights of others.

21. Export controls and sanctions
You agree to comply with all applicable export control laws, trade sanctions, and import regulations.
You represent that you are not located in, and are not a national or resident of, a jurisdiction subject to comprehensive sanctions, and that you do not appear on any government restricted-party list.
22. Privacy
Our Privacy Policy explains what information we collect through this website, how we use it, who we share it with, and the rights you may have.
By using this website you acknowledge that information is handled as described in that policy.
23. Electronic communications
When you use this website or send us information through it, you consent to receiving communications from us electronically, and you agree that agreements, notices, disclosures, and other communications we provide electronically satisfy any legal requirement that they be in writing.
24. Force majeure
We are not liable for any failure or delay caused by events beyond our reasonable control, including acts of God, natural disasters, severe weather, fire, flood, epidemic, war, terrorism, civil unrest, labour disputes, governmental action, utility failure, internet or telecommunications failure, hosting or infrastructure provider failure, or cyberattack.
25. Assignment
You may not assign or transfer these Terms or any rights under them without our prior written consent, and any attempt to do so is void.
We may assign these Terms in connection with a merger, acquisition, financing, reorganisation, or sale of assets.
26. Governing law
These Terms and any dispute arising out of or relating to them or to this website are governed by the laws of the State of Maine, United States, without regard to its conflict of law principles.
27. Venue and jurisdiction
Any dispute arising out of or relating to these Terms or this website shall be brought exclusively in the state or federal courts located in Cumberland County, Maine.
You consent to the personal jurisdiction of those courts and waive any objection to venue there.
28. Class action waiver
TO THE MAXIMUM EXTENT PERMITTED BY LAW, ALL CLAIMS MUST BE BROUGHT SOLELY IN AN INDIVIDUAL CAPACITY, AND YOU AGREE NOT TO PARTICIPATE IN ANY CLASS, COLLECTIVE, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING AGAINST EIDER GROUP.
29. Severability and no waiver
If any provision of these Terms is held invalid, unlawful, or unenforceable, that provision shall be limited or severed to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
No failure or delay by us in exercising any right operates as a waiver of that right, and no single or partial exercise prevents any further exercise.
30. Entire agreement
These Terms, together with our Privacy Policy, are the entire agreement between you and Eider Group regarding this website, and supersede any prior understandings on that subject.
They do not supersede any separate written agreement signed between you and Eider Group, which governs its own subject matter.
31. Changes to these terms
We may revise these Terms from time to time. The effective date at the top of this page indicates when the current version took effect.
Material changes will be reflected by updating that date, and where appropriate by other reasonable means. Your continued use of the website after the effective date of revised Terms constitutes acceptance of them.
